Upstate
Terms of service
Effective date: October 28, 2026
Acceptance of terms
Upstate is operated by Succinct Software LLC (“we”, “us”). By creating an account or using the service you agree to these terms. If you don’t agree, don’t use the service. If you use Upstate for an organization, you confirm you can accept these terms on its behalf.
The service
Upstate is read-only monitoring for apps deployed with Kamal. The hosted service never deploys, restarts containers or runs commands on your servers. The observer reports over outbound HTTPS and accepts no commands. The CLI changes your project or servers only when you run it. Observer-management operations show their plan and ask for confirmation, or accept your explicit confirmation flags. Commands such as
upstate kamal deploy
pass directly to your Kamal command without an additional Upstate plan or confirmation prompt.
The observer reads the Docker socket, which is privileged access. Install it only on servers you run or are authorized to manage. You’re responsible for your own servers, deploys, backups and access controls.
Accounts and security
- You’re responsible for all activity in your accounts, including by members you invite and coding agents you approve, and for protecting your login, CLI and observer credentials, and notification webhook URLs.
- Tell us promptly if you believe an account has been compromised.
- An owner can create more than one account, but only one account per owner is on Free. Additional accounts need Solo to connect servers.
Acceptable use
You may not use Upstate to:
- connect servers, apps, domains or logs you’re not authorized to monitor;
- process unlawful content or violate applicable law;
- attempt unauthorized access to systems, data or accounts;
- disrupt the service or abuse shared infrastructure;
- get around plan limits or technical safeguards.
Your data
You keep ownership of the data your servers, apps and team send to Upstate. We store and process it to run, secure and support the service for you, according to your plan’s features and retention. We don’t sell it. The privacy policy explains what we collect and how long we keep it.
Billing, cancellation and refunds
Plans and renewal
- Free costs nothing. Solo is $19 a month or $190 a year, with optional component packs. Current prices and allowances are on the pricing page.
- Paid plans are billed in advance through Stripe and renew automatically at the end of each period until cancelled. Component packs renew on the same schedule.
- There is no free trial. An account is on Free until a paid Solo subscription is confirmed.
- Prices are in US dollars. Any applicable taxes are shown at checkout.
- We may change prices. We’ll tell account owners by email before a new price applies to their next renewal.
Cancelling Solo
- Account owners can cancel any time from the Billing page in the account, which opens the Stripe billing portal.
- You keep Solo until the end of the period you’ve paid for. After that the account moves to Free and you aren’t charged again.
- Cancelling keeps your resources and durable deployment receipt evidence. Monitoring continues on Free, and metrics are pruned according to Free’s retention periods. You can subscribe again whenever you like; deleted metrics cannot be restored.
Component packs
- Adding a pack is charged right away, prorated for the rest of your current billing period, and the extra components are available at once.
- Removing a pack takes effect at your next renewal. There’s no credit or refund for the rest of the current period, and your limit stays where it is until then.
Going over your plan, downgrades and failed payments
- Going over your plan’s limits, for example after a downgrade, does not remove your existing resources. New additions over the limit are blocked. Metrics are pruned according to the current plan’s retention periods.
- For 14 days everything keeps being watched and alerting. If the account is still over its component limit after that, the newest components beyond the limit stop sending alerts (they stay visible), and Rails app-health and request metrics pause for the whole account. Server reports, check-ins, TLS and domain checks and deploy receipts continue. Getting back within the limit restores everything.
- If a renewal payment fails, the account works as Free, with Free’s limits, until the payment succeeds. Update your card from Billing.
Refunds
- Monthly plans aren’t refunded. Cancelling keeps access until the end of the month you’ve paid for.
- Annual plans: on request to support@upstate.cloud, we refund the remaining whole months, counted from the end of the current billing month. Access ends at the end of that month. This covers the whole annual subscription, component packs included.
- Duplicate charges and billing errors are refunded in full on request.
Closing an account
To close an account, the account owner chooses Close account in the app and confirms with the account name. The Solo subscription is cancelled straight away and the account closes.
Closing gives no refund for the rest of the paid period. On an annual plan, request your refund before you close the account. If you only want to stop paying, cancel Solo instead: the account keeps working on Free and your data is kept.
Payments are processed by Stripe; we never see your full card number. Billing questions: support@upstate.cloud.
Availability and support
We aim to provide reliable service and timely support, but we don’t guarantee uninterrupted availability, error-free operation, or that every problem on your servers will be detected or alerted. Upstate is a second set of eyes, not a replacement for your own backups, restore tests and judgment. We may change or retire features as the product evolves.
Limitation of liability
To the maximum extent permitted by law, Succinct Software LLC is not liable for indirect, incidental, special, consequential or punitive damages arising from your use of Upstate.
Suspension and termination
You can cancel Solo or close an account at any time. We may suspend or terminate access for violations of these terms, abuse, security concerns or legal requirements.
Changes to these terms
We may update these terms as the product evolves. Changes are reflected by an updated effective date at the top of this page.
